1. Agreement

2. What We Provide

Talya Smart provides information about private-label platform builds, AI venture studio services, industry diagnosis tools, and executive workshops. The site’s simulators, timelines, and pricing outputs are illustrative models — not binding quotes or guarantees unless confirmed in a signed statement of work.

3. Your Responsibilities

• Provide accurate contact information when requesting a report or consultation.
• Do not misuse the site, attempt unauthorized access, or scrape it at scale.
• Do not upload unlawful, infringing, or malicious content through our lead forms or platform onboarding flows.

4. Intellectual Property

The Talya Smart brand, site design, diagnosis engine, and underlying platform orchestrator remain our property or our licensors’. Client-specific deliverables, branding, and IP ownership for paid engagements are defined in the applicable contract — typically transferring client-facing IP to the client for scoped platform builds.

5. Limitation of Liability

The site is provided “as is.” To the fullest extent permitted by law, Talya Smart is not liable for indirect, incidental, or consequential damages arising from use of the site or reliance on modeled outputs. Our total liability for any claim relating to free use of the website is limited to USD 100 unless a separate signed agreement states otherwise.

6. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. Courts in Bergen County, New Jersey shall have exclusive jurisdiction, unless mandatory consumer protection law in your country requires otherwise.
